Terms of Service
The agreement that governs your use of the Piggy Banker finance software, our fractional CFO services, and our websites.
These Terms of Service (“Terms”) are an agreement between you and Raterman Group LLC, doing business as Piggy Banker (“Piggy Banker,” “we,” “our,” or “us”). They cover our two offerings: the Piggy Banker software, an AI finance workspace at https://finance.piggybanker.io, and our fractional CFO services, delivered by our team and described at https://piggybanker.io/cfo. They also cover our websites, including https://piggybanker.io, and our applications, APIs, and integrations. Together, these are the “Services.”
1. Agreement
By accessing or using the Services, you agree to these Terms.
If you use the Services for a business, you accept these Terms for that business, and “you” means both the business and you as its representative. Our Privacy Policy explains how we handle personal information.
2. How these Terms apply to software customers and CFO-services clients
These Terms have shared sections and sections for each offering:
- Sections for everyone: sections 1 to 4, 8, 9, 11, and 14 to 26 apply to all use of the Services.
- Software sections: sections 5, 6, 7, 10, and 12 also apply if you use the Piggy Banker software.
- CFO services section: section 13 also applies if you hire us for fractional CFO services. Your proposal, engagement letter, or order form for those services (“engagement terms”) sets the scope, deliverables, and fees. If your engagement terms conflict with these Terms, your engagement terms control for the CFO services.
- Both offerings: if you use the software and hire us for CFO services, all of these sections apply.
If you sign a separate written agreement with us for the software, that agreement controls where it conflicts with these Terms.
A CFO Firm account is a type of software account for outside CFO, accounting, and finance firms that manage many client companies. Having a CFO Firm account does not mean you have hired us for CFO services.
3. Our Services
Piggy Banker provides software and professional financial services designed to help businesses understand and manage their finances.
- The software lets you connect accounting and banking data, ask questions or request financial models in a chat, and have AI build source-linked metrics, forecasts, scenarios, and pages, such as reports and dashboards. Recurring tasks run on a schedule and can post to Slack or send email after a user approves the content.
- The CFO services are delivered by our team. They include bookkeeping, custom financial statements, monthly reporting and check-ins, planning and analysis, CFO-level support, and add-on services.
Features may change as we improve the platform.
4. Eligibility
You must be at least 18 years old and have authority to act on behalf of the business using the Services. The Services are for business use only.
5. Accounts, users, and seats (software)
You are responsible for:
- maintaining the security of your account;
- keeping your login credentials confidential;
- ensuring your information remains accurate; and
- notifying us of unauthorized use.
You are responsible for all activity occurring under your account.
Each login is for one person. Do not share logins. The account owner controls the account, including users and their roles, billing, AI settings, and connections. Users you add must follow these Terms, and you are responsible for their use of the software.
6. Company and CFO Firm accounts (software)
When you sign up for the software, you choose one of two account types:
- Company: for one company managing its own finances in its own workspace.
- CFO Firm: for a firm that manages finances for multiple client companies. CFO Firm accounts include a portfolio view of client companies, roles and permissions for firm and client users, approvals, and a client portal for sharing reports.
If you have a CFO Firm account:
- You must have each client company’s authorization to connect its accounts, upload its data, import related Slack messages or meeting notes, and process that data with the software, including with AI features.
- You are responsible for your agreements with your client companies, for any notices or consents the law requires, and for the client users you invite.
- We process client company data on your behalf, under these Terms and the instructions you give through the software.
- You decide which users can access each client workspace and what you publish to the client portal or share by link.
- When you delete a client workspace, we delete its data as described in our Privacy Policy.
7. Software license and acceptable use (software)
Our software is licensed—not sold—to you.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. For a CFO Firm account, internal business purposes include using the software to serve your client companies.
You may not:
- copy or resell the software;
- reverse engineer or attempt to discover source code except where prohibited by law;
- interfere with platform security;
- misuse APIs or automations;
- upload malicious software;
- use the Services unlawfully;
- let more people on your team use the software than you have seats for;
- try to get around usage limits or billing; or
- connect accounts, upload data, or send messages that you do not have the right to use or send.
8. Connected accounts and third-party services
Third-party services
Our Services may integrate with third-party platforms such as bookkeeping software, banking providers, payroll systems, payment processors, artificial intelligence providers, cloud providers, and other business applications.
These services operate under their own terms and privacy policies.
We are not responsible for third-party availability, accuracy, security, pricing, or functionality.
Connected accounts in the software
- Available connections. The software can connect to QuickBooks Online (directly or through Merge), Xero, Puzzle, Plaid (for bank, investment, and loan accounts), Slack, and Granola (for meeting notes). You can also upload files.
- Authorization. You connect through the other service’s own authorization screen or through the Plaid or Merge connection window. You must have the right to connect each account.
- Read-only. The software only reads data from your accounting system. It never posts entries to, or edits, your accounting system, and it cannot move money or make payments from your financial accounts.
- Plaid. We use Plaid Inc. (“Plaid”) to connect financial accounts. By connecting an account through Plaid, you acknowledge and agree that Plaid may collect, use, and share your information as described in the Plaid End User Privacy Policy.
- Disconnecting. You can disconnect a connected account at any time. Data already imported stays in your workspace until it is deleted, as described in our Privacy Policy.
- Data freshness. Data from connected services is updated periodically. It may be delayed or incomplete, and changes a provider makes to its service can affect a connection.
9. AI features
Our Services may use artificial intelligence to generate:
- financial analyses;
- summaries;
- categorizations;
- forecasts;
- recommendations;
- narratives;
- reports; and
- other automated outputs.
AI-generated content is intended to assist—not replace—human judgment.
Because AI can make mistakes, you are solely responsible for reviewing and validating all outputs before relying upon them.
To generate outputs, we send your requests and relevant data to third-party AI model providers, as described in our Privacy Policy. We do not use your confidential business information to train public AI models unless we expressly disclose it and you authorize it.
Outputs may link to the source data they were built from. Source links help you check an output. They do not guarantee that it is correct.
In the software, the account owner can choose the default AI model, and the models available may change over time. AI usage is measured and counts toward your account’s allowance (see section 12).
10. Recurring tasks, approvals, and sharing (software)
- You control recurring tasks, including their instructions, schedules, and destinations.
- Before a recurring task posts to Slack or sends an email, a user with permission must approve the exact content. We send approved content only to the destinations you set up.
- You are responsible for content you approve, publish, or share, and for choosing the right recipients. We are not responsible for what recipients do with content you send them.
- If you publish a page, anyone with the link, and the access code if one is required, can view it. You can unpublish the page or change its link at any time.
11. Fees and payment
Certain Services require payment.
Unless otherwise agreed:
- subscriptions renew automatically until cancelled;
- consulting invoices are due according to your engagement agreement;
- unpaid accounts may be suspended;
- fees are non-refundable except where required by law.
Fees do not include taxes. You are responsible for any sales, use, value-added, or similar taxes on the Services, other than taxes on our income.
Section 12 covers software pricing. Section 13 covers fees for CFO services.
12. Software pricing, seats, and AI usage (software)
- Price. The software is priced per seat per month. The price is the same for Company and CFO Firm accounts. As of the date of these Terms, it is $250 per seat per month. Current prices are shown on our website and at checkout.
- Seats. A seat lets one named person on your team use the software. A CFO Firm account can manage any number of client companies. The number of client companies does not change the price.
- No free trial. We do not offer a free trial of the software.
- Billing. We bill monthly in advance through our payment processor, Stripe. Your subscription renews each month until cancelled. If you add seats during a billing period, we may charge a prorated amount for the rest of that period.
- Included AI usage. Each seat includes a standard monthly allowance of AI usage. The account owner can see the account’s usage in the software.
- Additional AI usage. Usage beyond the included allowance is available only if the account owner turns it on. It is billed as you go, at our current usage rates, up to the monthly limit the account owner sets.
- When you reach a limit. If you use your included allowance and additional usage is off, or if you reach your monthly limit, AI features pause until the next monthly period or until the account owner allows more usage.
- Cancellation. You can cancel at any time in the billing settings of the software or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access until then. Fees already paid are not refunded, except where required by law.
- Failed payments. If a payment fails, we may limit or suspend access to the software until the balance is paid.
- Price changes. We may change our prices. We will tell you before a price change applies to your subscription, and the new price will take effect at the start of a later billing period.
13. Fractional CFO services
Engagement terms
Piggy Banker may also provide consulting services, including Fractional CFO, forecasting, financial modeling, reporting, budgeting, planning, implementation, or strategic advice.
The scope, deliverables, schedule, and fees for CFO services are set in your engagement terms. We offer standard plans and custom plans, as described on our website or in your proposal. Work outside the agreed scope requires a written agreement, which may include additional fees.
Best-efforts basis
Unless separately agreed in writing, all consulting services are provided on a best-efforts basis.
Your decisions and information
You remain responsible for all business, accounting, tax, legal, financing, employment, and operational decisions.
We rely on the information and access you provide. You agree to give us accurate, complete, and timely information and to review our work before relying on it. We are not responsible for errors caused by incomplete, delayed, or incorrect information.
Access to your systems
- We ask only for the access we need for your engagement.
- Our access to your financial data is read-only. We can see transaction-level data for accounting purposes, but we cannot access or move money in your financial accounts.
- You can remove our access at any time, and you keep the work we have delivered. If you remove access we need, we may not be able to complete work that depends on it.
Taxes
We do not prepare or file tax returns. At year end, with your permission, we hand off your records to a tax professional you choose or to one of our tax partners so you are ready to file. Our tax partners are separate businesses, and their services are governed by their own terms.
Professional limits
Piggy Banker is not a CPA firm and does not provide audit or assurance services. We do not provide legal or tax advice unless we separately agree in writing to do so. See section 16.
Add-on services
Add-on services include year-to-date bookkeeping catch-up, preparing data rooms for acquisitions or investors, and background checks, security audits, and security consulting. Add-on services are provided only under engagement terms that describe them. If you ask us for a background check, you are responsible for having a lawful purpose and any consent or notice the law requires.
Fees and invoices
Fees for CFO services are set in your engagement terms. Invoices are due according to your engagement agreement, and unpaid accounts may be suspended (see section 11).
Cancellation
You can cancel CFO services at any time, as described in your engagement terms. When an engagement ends, we will make reasonable efforts to help hand off your books and reports to another provider or to your internal team. Fees for services already performed are not refundable, except where required by law or where your engagement terms say otherwise.
14. Your data
You retain ownership of all data you upload or connect to the Services.
By using Piggy Banker, you grant us permission to access, process, store, analyze, display, and transmit your data solely for:
- operating the Services;
- providing support;
- improving our products;
- generating reports and AI outputs;
- maintaining security; and
- complying with applicable law.
This includes sharing data with our service providers, including AI model providers, as described in our Privacy Policy. For a CFO Firm account, your data includes the client company data you connect or upload.
15. Your responsibilities
You agree to:
- provide accurate information;
- maintain appropriate accounting records;
- review reports before relying upon them;
- reconcile financial information where appropriate;
- maintain backups of critical business records; and
- have the rights and permissions needed for the data you connect, upload, or share.
We rely on information provided by you and your connected systems.
We are not responsible for inaccurate recommendations caused by incomplete, delayed, or incorrect information.
16. No professional advice
Piggy Banker is not a public accounting (CPA) firm, audit firm, law firm, investment adviser, or bank.
Nothing provided through the Services constitutes:
- legal advice or tax advice, unless we separately agree in writing to provide it;
- investment advice;
- audit or assurance services;
- guarantees of financial performance; or
- guarantees of business outcomes.
We do not prepare or file tax returns.
You should consult appropriate licensed professionals before making significant financial, legal, tax, or investment decisions.
17. Intellectual property and work product
All software, branding, designs, documentation, workflows, content, reports, and technology provided by Piggy Banker remain our intellectual property unless otherwise stated.
You may use, copy, modify, and share, for your business purposes, the reports, models, pages, and other outputs the software creates from your data, and the deliverables we prepare for you in the CFO services. This right continues after your subscription or engagement ends, as long as you have paid the fees that apply. It does not give you any other rights in our software, templates, or technology.
Feedback you voluntarily provide may be used by Piggy Banker without restriction or compensation.
18. Confidentiality
We treat customer business information as confidential.
We use commercially reasonable safeguards to protect customer information and only disclose it:
- with your authorization;
- to trusted service providers supporting our operations;
- when legally required; or
- to protect our legal rights.
This applies to information in the software and to information you share with us in the CFO services. If your engagement terms include additional confidentiality terms, those terms also apply.
19. Availability
We strive for reliable uptime but cannot guarantee uninterrupted access.
Maintenance, outages, software bugs, internet failures, or third-party disruptions may temporarily affect availability.
20. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
21. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIGGY BANKER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID TO PIGGY BANKER DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
22. Indemnification
You agree to defend, indemnify, and hold harmless Piggy Banker, its owners, employees, contractors, affiliates, and service providers from claims arising from:
- your use of the Services;
- your violation of these Terms;
- your violation of applicable law; or
- your infringement of third-party rights.
23. Termination
You may stop using the Services at any time.
We may suspend or terminate access if these Terms are violated, payment obligations are not met, security risks arise, or continued access would expose Piggy Banker or its customers to harm.
Section 12 explains how to cancel a software subscription, and section 13 explains how to end CFO services. After your account or engagement ends, we handle your data as described in our Privacy Policy. Sections that by their nature should continue after termination, including those on fees owed, your data, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law, continue to apply.
24. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page with a new date, and we will notify account owners and active CFO-services clients of material changes by email or in the software.
Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
25. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
